Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Topology Cloud platform, including the web application at app.topology.cloud and all related services (collectively, the "Service"), operated by Topology Cloud ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using the Service, you confirm that you:
- Are at least 16 years of age.
- Have the legal capacity to enter into a binding agreement.
- Accept these Terms and agree to comply with them.
- If acting on behalf of an organization, have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not use the Service.
2. Description of Service
Topology Cloud is a platform for creating, managing, and visualizing building system topologies. The Service allows users to:
- Create and manage property and room layouts.
- Place and configure system components (electrical, HVAC, security, networking, etc.).
- Define connections and relationships between components.
- Track maintenance history and schedules.
- Share and collaborate on designs with team members.
- Create custom device definitions.
- Export and version system designs.
3. Account Registration
3.1 Account Creation
To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the accuracy of your account information.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activities that occur under your account.
- Notifying us immediately of any unauthorized access or use of your account.
We are not liable for any loss arising from unauthorized use of your account.
3.3 Account Termination
You may delete your account at any time through the account settings. We may suspend or terminate your account if you violate these Terms or if required by law.
4. Subscription Plans and Billing
4.1 Free Tier
The Service offers a free tier with limited features and usage limits. Free tier accounts are subject to the limitations described in the current pricing documentation.
4.2 Paid Subscriptions
Paid subscription plans provide additional features, higher usage limits, and priority support. Subscription details, pricing, and feature comparisons are available at billing.topology.cloud.
4.3 Billing
- Paid subscriptions are billed in advance on a monthly or annual basis.
- All fees are non-refundable except as required by applicable law or as explicitly stated in these Terms.
- We may change subscription pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle.
- Payment processing is handled by Stripe. By subscribing, you also agree to Stripe's Terms of Service.
4.4 Cancellation
You may cancel your subscription at any time. Upon cancellation:
- You will retain access to paid features until the end of your current billing period.
- Your account will revert to the free tier after the billing period ends.
- Your data will be retained but may become inaccessible if it exceeds free tier limits.
4.5 Refunds
We offer a 14-day refund policy for new subscriptions. If you are unsatisfied within the first 14 days, contact us at support@topology.cloud for a full refund. After 14 days, subscriptions are non-refundable.
5. User Content
5.1 Ownership
You retain all ownership rights to the content you create, upload, or store on the Service ("User Content"), including property designs, component configurations, maintenance records, and custom device definitions.
5.2 License Grant
By using the Service, you grant us a limited, non-exclusive, worldwide license to host, store, process, and display your User Content solely for the purpose of providing and improving the Service. This license ends when you delete your content or account.
5.3 Responsibility
You are solely responsible for your User Content and represent that:
- You own or have the necessary rights to use and share the content.
- Your content does not violate any laws or third-party rights.
- Your content does not contain malicious code or harmful material.
5.4 Data Export
You may export your User Content at any time through the platform's export features. We will provide reasonable assistance for data portability upon request.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights.
- Upload or transmit malware, viruses, or other harmful code.
- Attempt to gain unauthorized access to the Service or other users' accounts.
- Interfere with or disrupt the Service or its infrastructure.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service for competitive analysis or to build a competing product.
- Scrape, crawl, or use automated means to access the Service without permission.
- Share your account credentials or allow unauthorized persons to access your account.
- Use the Service to store or transmit content that is unlawful, harmful, threatening, abusive, or otherwise objectionable.
- Circumvent or disable any security or access control features.
7. Intellectual Property
7.1 Our Property
The Service, including its design, code, features, documentation, trademarks, and all related intellectual property, is owned by Topology Cloud and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
7.2 Component Library
The pre-built component definitions provided in the Service (the "Component Library") are proprietary to Topology Cloud. You may use them within the Service but may not extract, reproduce, or redistribute them outside the platform.
7.3 Feedback
If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback into the Service without obligation to you.
8. Sharing and Collaboration
8.1 Sharing Content
The Service allows you to share properties, maps, and other content with other users. When you share content:
- You control what is shared and at what permission level (view, edit, admin).
- You are responsible for ensuring recipients are authorized to access the shared content.
- Recipients may view, and if permitted, modify shared content according to the permissions you set.
8.2 Teams
Team features allow multiple users to collaborate under a shared subscription. Team administrators are responsible for managing team members and their access levels.
9. Service Availability
9.1 Uptime
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may temporarily suspend the Service for maintenance, updates, or due to circumstances beyond our control.
9.2 Modifications
We reserve the right to modify, update, or discontinue any feature of the Service at any time. For material changes that negatively affect your use, we will provide reasonable notice (at least 30 days for paid features).
9.3 Data Backup
While we maintain regular backups, we recommend that you maintain your own copies of critical data. We are not responsible for data loss due to circumstances beyond our reasonable control.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
We do not warrant that:
- The Service will be uninterrupted, timely, secure, or error-free.
- The results obtained from the Service will be accurate or reliable.
- Any defects in the Service will be corrected.
Important: The Service provides tools for designing and documenting building systems. It is not a substitute for professional engineering, architectural, or electrical design services. All system designs should be reviewed and validated by qualified professionals before implementation. We are not responsible for any damages resulting from the implementation of designs created using the Service.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOPOLOGY CLOUD SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages.
- Any loss of profits, revenue, data, or business opportunities.
- Any damages arising from your use or inability to use the Service.
- Any damages arising from unauthorized access to your data.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
12. Indemnification
You agree to indemnify, defend, and hold harmless Topology Cloud and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising from:
- Your use of the Service.
- Your violation of these Terms.
- Your User Content.
- Your violation of any rights of a third party.
13. Privacy
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the data practices described in the Privacy Policy.
14. Dispute Resolution
14.1 Informal Resolution
Before filing a formal dispute, you agree to attempt to resolve the issue informally by contacting us at legal@topology.cloud. We will attempt to resolve the dispute within 30 days.
14.2 Arbitration
If informal resolution fails, any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the United States, and the language shall be English.
14.3 Class Action Waiver
You agree to resolve disputes on an individual basis. You waive any right to participate in a class action, class-wide arbitration, or representative action.
14.4 Exceptions
Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights or to prevent imminent harm.
15. General Provisions
15.1 Governing Law
These Terms are governed by the laws of the United States, without regard to conflict of law principles.
15.2 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Topology Cloud regarding the Service.
15.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
15.4 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
15.5 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
15.6 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, internet disruptions, or pandemics.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect by posting a notice in the application or sending an email to your registered address. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms. If you disagree with the changes, you must stop using the Service and may request account deletion.
